Open Letter of Inquiry to MGM, Inc. et al. July 19, 2023

When we filed a request for review and a motion for stay of execution against the decision to approve the Osaka IR Development Plan, MGM Resorts International, Inc. When the Corporation and others filed a request for review and motion for stay of execution against the approval decision of the Osaka IR Development Plan, MGM Resorts International (“MGM”) argued that MGM had acquired LeoVegas, and MGM et al. In response to this rebuttal, we would like to ask the following questions to MGM and others.

Question

  1. Am I correct in my understanding that LeoVegas’ business revenues and assets accumulated by the Japanese online casino business prior to the acquisition of LeoVegas from MGM remained within LeoVegas, and that LeoVegas was acquired by MGM and made a subsidiary of LeoVegas?
  2. Please indicate whether or not any agreement, by whatever name or title, was concluded between LeoVegas and the operating entity of Casino Leo regarding the transfer of LeoVegas’ online casino business for the Japanese market prior to MGM’s acquisition of LeoVegas.
  3. If you answered in question 2 above that there was a contract related to the transfer of business, please clarify the details of that contract.
  4. If you answered that there was an agreement regarding the transfer of business in question 2 above, please clarify whether or not LeoVegas received any consideration for the transfer of the online casino business for the Japanese market.
  5. According to your website, MGM does not operate Casino Leo and has no capital relationship with it. Is it correct to say that there is no contractual or business relationship between you and the entity operating Casino Leo?
  6. If you and your firms indicated in your response to 5 above that you have a contractual or business relationship with the operating entity of Casino Leo, please identify the nature of that contractual or business relationship.
